Evernorth Holdings, a Ripple-backed XRP treasury firm, has finalized lucrative executive compensation packages, including target bonuses equal to 50% of annual salaries and multi-million dollar equity awards for top managers. This move comes as the company pushes ahead with its plans for a Nasdaq listing through a merger with a Special Purpose Acquisition Company (SPAC).

The details emerged from Amendment No. 5 to its Form S-4 registration statement, filed with the U.S. Securities and Exchange Commission (SEC) on July 30, 2026. These disclosures underscore Evernorth’s aggressive strategy to incentivize leadership ahead of its anticipated debut on a major U.S. exchange, aiming to become the world’s largest publicly traded XRP treasury.

Executive incentives fuel Nasdaq ambition

The newly unveiled compensation structure for Evernorth Holdings’ senior leadership is designed to reward aggressive growth and successful execution of its listing strategy. Chief Legal Officer Jessica Jonas, Chief Business Officer Sagar Shah, and Chief Operating Officer Megumi Nakamura are at the center of these agreements.

Jessica Jonas, the Chief Legal Officer, will receive a base salary of $400,000, complemented by a Restricted Stock Units (RSU) package valued at an initial $4.5 million. Sagar Shah, Chief Business Officer, and Megumi Nakamura, Chief Operating Officer, are each set to receive fixed annual compensation of $300,000.

Beyond their salaries, Shah and Nakamura have also been granted initial equity awards worth $2.8 million each. Crucially, all three executives – Jonas, Shah, and Nakamura – are eligible for target annual bonuses equivalent to 50% of their base salaries, aligning their financial incentives directly with the company’s performance as it transitions to a public entity.

These latest compensation agreements follow earlier finalized employment terms for other key executives. Ashish Birla, the Chief Executive Officer, and Matt Frymier, the Chief Financial Officer, also had their agreements disclosed earlier in July 2026 in a previous amendment to the Form S-4.

The comprehensive compensation strategy highlights Evernorth’s commitment to attracting and retaining top talent as it seeks to navigate the complexities of a public listing and a volatile cryptocurrency market.

Navigating market headwinds and impairment losses

Evernorth Holdings’ generous executive compensation plan arrives at a time when the broader cryptocurrency market continues to exert pressure on the firm’s balance sheet. Despite raising over $1 billion in gross proceeds through its financing rounds, the company recently recognized a $38.4 million impairment loss on its digital assets.

This impairment stems from a decline in the value of its substantial holdings of 473 million XRP tokens. As a result, the current value of the fund’s cryptocurrency reserves was adjusted downward to $640 million by the end of July 2026. Such a significant paper loss might typically trigger caution in executive pay discussions, but Evernorth appears committed to its long-term vision.

The decision to proceed with these substantial bonuses and equity packages suggests a strong belief from the board and institutional backers in the management team’s ability to deliver future growth. It’s a strategic gamble, signaling confidence that the potential upsides of becoming a public company and a regulated XRP gateway outweigh the current market challenges and unrealized losses.

The planned Nasdaq listing is a cornerstone of Evernorth Holdings’ ambition to establish itself as the world’s largest publicly traded XRP treasury. This strategic move involves a business combination with Armada Acquisition Corp. II, a SPAC platform backed by Arrington Capital.

Upon completion of the merger, the combined entity will trade under the ticker symbol XRPN. This mechanism is intended to create a major regulated gateway into the XRP ecosystem for U.S. investors, offering a structured and compliant pathway to participate in the digital asset space. Evernorth’s operational model centers on institutional lending and sophisticated DeFi yield strategies, all built upon the XRP Ledger.

The firm benefits from robust institutional backing, including significant support from Ripple itself, which developed the XRP Ledger. Other prominent investors include Japanese financial giant SBI Holdings, venture capital firm Pantera Capital, and leading cryptocurrency exchange Kraken. These affiliations lend considerable credibility and financial strength to the XRPN project.

The company’s Board of Directors further underscores its institutional connections. It features Ripple Chief Legal Officer Stuart Alderoty, Evernorth CEO Asheesh Birla, Ted Janus, OpenAI Foundation Chief Financial Officer Robert Kaiden, and Antalpha Chief Operating Officer Derar Islim. Path ahead for the XRPN listing

The formalization of executive compensation through the latest SEC filing marks another critical step in Evernorth Holdings’ journey toward its Nasdaq listing. However, several regulatory and procedural hurdles remain before shares of XRPN can officially begin trading.

The U.S. Securities and Exchange Commission must first approve the comprehensive S-4 registration statement.
