Wintermute USA LLC is now a registered SEC broker-dealer as of August 6, 2026, marking a significant regulatory milestone. S. subsidiary of major crypto market maker Wintermute, officially secured its registration as a broker-dealer with the Securities and Exchange Commission (SEC) and gained membership with the Financial Industry Regulatory Authority (FINRA) on August 6, 2026. This pivotal regulatory approval positions Wintermute to directly challenge traditional Wall Street firms currently dominating the authorized participant roles for digital asset exchange-traded products (ETPs).

The move, announced yesterday and reported today, clears a significant hurdle for the crypto-native firm in its ambition to bridge the operational divide between digital assets and traditional finance. Founder and CEO Evgeny Gaevoy emphasized that successful firms in this evolving landscape will require technical and operational expertise in both sectors.

Expanding influence in regulated securities

This critical regulatory development empowers Wintermute USA LLC to engage in several key activities within the U.S. securities markets. Headquartered in New York, U.S., the firm can now trade equities and equity options for its own account, enhancing its proprietary trading capabilities.

The registration also allows Wintermute to provide liquidity to national securities exchanges and over-the-counter (OTC) counterparties, a core function for market makers. Crucially, the new status enables Wintermute to serve as an Authorized Participant (AP) for ETPs, including those tied to digital assets, exclusively for its own proprietary account.

This means it can create and redeem shares of ETFs directly with fund issuers. The firm also gained the ability to self-clear digital asset securities transactions for its own account, streamlining its operational control over its trades. Evgeny Gaevoy noted, “Our long-term conviction has always been that digital asset markets will evolve in more than one direction.”

Challenging Wall Street’s established players

Wintermute’s entry into the regulated U.S. broker-dealer space represents a direct challenge to incumbent Wall Street market makers. Currently, no crypto-native firm is among the dozen authorized participants cleared to create and redeem shares for BlackRock’s iShares Bitcoin Trust, which held $43.2 billion at the end of June.

These roles are typically held by established financial players such as Jane Street, Citadel Securities, Virtu Americas, Goldman Sachs, and JPMorgan. Wintermute, already a leading algorithmic trading firm and OTC desk in digital assets, brings significant firepower to this landscape, facilitating over $10 billion in average daily trading volume across more than 60 centralized and decentralized exchanges globally.

Gaevoy’s background, having built and run the ETF desk at Optiver, a leading traditional finance trading firm, underscores Wintermute’s understanding of both worlds. This blend of experience and crypto-centric technology is intended to enable the firm to compete effectively within the traditional financial sector while leveraging its deep digital asset expertise.

Navigating the ETF ecosystem

Wintermute’s global arm, Wintermute Trading Ltd., already supplies crypto liquidity for products like Fidelity’s Wise Origin Bitcoin Fund. The new SEC and FINRA registrations are a strategic step for its U.S. arm to gain credibility and access mandates that offshore firms cannot, a crucial advantage especially after the increased regulatory scrutiny following FTX’s collapse.

The firm’s U.S. arm has reportedly already signed ETF issuers as clients, signaling early momentum for its broader strategy to integrate digital assets with traditional finance. This positioning allows Wintermute to bridge a crucial operational gap in the evolving market structure. Institutional flow, for example, accounted for 72% of Wintermute’s OTC volume in the first half of 2026.

This expansion unfolds within a dynamic regulatory environment for broker-dealers. FINRA oversaw 3,184 registered broker-dealers at the end of 2025, a decrease from 3,394 in 2021, illustrating a consolidating industry where new entrants face an uphill battle. Wintermute aims to directly compete with major Wall Street market makers such as Jump Trading, Jane Street, and Citadel Securities within three to five years.

Strategic expansion into tokenized equities

Wintermute’s strategic vision extends beyond current crypto ETPs, aiming for broader participation in tokenized securities. The firm reportedly plans to seek designated market-maker status on major exchanges like NYSE and Nasdaq, signaling a deeper push into traditional finance infrastructure.

Further, Wintermute intends to expand into tokenized equities, an ambition contingent on future U.S. regulatory approval. This multi-stage approach emphasizes the company’s commitment to long-term integration and market evolution. However, this strategy faces significant regulatory uncertainty regarding tokenized equities, capital requirements, and the established relationships of incumbent Wall Street firms, which remain substantial hurdles.
