India Is Turning Its $620 Billion Corporate Bond Market Into Digital Tokens

India is turning tokenized corporate bonds into a real-world experiment, bringing blockchain infrastructure to a market worth roughly $620 billion. The pilot, launched by India’s securities regulator and central bank, connects digital bond issuance with the country’s wholesale digital rupee.

The initiative, called “Demat 2.0,” was unveiled last week at the Global Fintech Fest by the Securities and Exchange Board of India (SEBI) alongside the Reserve Bank of India (RBI). Rather than creating a new crypto market, the project is testing whether traditional financial assets can move more efficiently on blockchain rails.

The first transactions are already on the books. Three companies have used the framework to raise a combined 1,025 crore rupees, or about $107 million.

State-owned lender REC led the rollout on September 7, issuing what it described as India’s first tokenized corporate bond. The offering raised 500 crore rupees from 18 investors. Larsen & Toubro followed with another 500 crore rupees, while IIFL Finance raised 25 crore rupees.

The mechanics are deliberately different from the open, permissionless networks associated with cryptocurrencies. The bonds are created as native digital tokens on a private, permissioned ledger operated by India’s statutory securities depositories, NSDL and CDSL.

That ledger is connected to the RBI’s wholesale digital rupee through a Unified Market Interface. The result is what the financial industry calls atomic settlement: the bond and the money used to pay for it can change hands at the same time.

For issuers, that could mean access to proceeds on the day of bidding instead of waiting for the traditional settlement cycle to finish. Smart contracts could also handle routine tasks such as interest payments and redemptions automatically.

Why tokenized corporate bonds are suddenly getting practical

The interesting part is not simply putting a bond on a blockchain. It is wiring the asset directly into a digital payment system so that issuance, settlement and servicing can happen on the same technological rails.

SEBI has also made clear that the experiment is meant to preserve the existing rules around corporate debt. The bonds retain their credit ratings, debenture trustees, listing requirements and investor protections. Regulators also said the system is not intended to split the market into separate pools of liquidity.

For investors, the transition is designed to be relatively invisible. Tokenized corporate bonds can be held in existing Demat accounts, without requiring investors to complete another round of know-your-customer checks.

The pilot is still limited. Later stages are expected to add secondary-market trading, followed eventually by access for retail investors.

India’s approach is notable because it has drawn a clear line between private cryptocurrencies and blockchain-based financial infrastructure. The country has largely kept crypto assets at arm’s length while continuing to develop its own blockchain-adjacent systems, including the RBI-backed digital rupee.

Now, tokenized corporate bonds are becoming another test of that strategy. Instead of asking whether blockchain can replace traditional finance, India is testing something more practical: whether the underlying technology can quietly make traditional markets faster, more programmable and easier to settle.
